1. Provider and scope
These terms cover the website sarunas.xyz and consulting, development and hosted software services identifying MB “Kryptingi projektai” (“KP”, “we”) as their provider, including relevant services on *.apps.sarunas.xyz. Our details: company code 304844804; VAT code LT100013832013; Taikos g. 150-30, LT-05227 Vilnius, Lithuania; s@1d.works.
A business customer acts for its trade, business or profession; a consumer is an individual acting outside those purposes. The consumer protections below apply whenever you act as a consumer. Direct accounts and purchases are for adults aged 18 or over unless an app expressly sets out a lawful exception.
KP supplies software. The merchant or provider identified in an app sells its food, classes, bookings or other goods and services under its own disclosed sales terms. These software terms do not make KP that seller or replace those terms.
2. Orders and acceptance
The accepted proposal, statement of work, order or plan defines the service, price, start, deliverables, any trial and commitment. It may override these commercial defaults, subject to mandatory law. A signed statement of work is not essential for business consulting: an engagement can arise when you request work and we begin the agreed work, or you make the agreed payment. Creating an account alone does not start a paid subscription.
Before a consumer purchase, the offer must clearly identify the service and seller, total price and recurring charges, billing interval, duration, renewal and cancellation conditions, relevant functionality and compatibility, statutory conformity rights, applicable update information, and withdrawal information. A paid order requires express acknowledgment of the payment obligation. We provide the contract confirmation on a durable medium, such as email, before service performance begins.
3. Fees and payment
Unless otherwise agreed, prices and invoices are in EUR and invoices are payable within 14 days of issue. Consulting is invoiced weekly in arrears only if no other schedule is agreed; paid SaaS is billed monthly in advance by default. Accepted offers may instead use fixed, hourly, milestone, setup, annual or other agreed pricing. Consumer prices include applicable taxes.
Any merchant commission, its calculation base, VAT treatment and allocation of payment, cancellation and refund costs must be stated in the accepted merchant offer. There is no universal commission rate. Payment instructions and the available payment methods appear in the order or invoice. Business late payments may attract statutory interest where applicable.
4. Service and use
We use reasonable care and provide support by email. Fixed response times, uptime commitments and enhanced support apply only when agreed. This does not remove mandatory quality, security-update or consumer-remedy obligations. You must provide the cooperation and information reasonably needed for the agreed work, keep account access secure, and use the service lawfully without interfering with its security or other users.
5. Software and deliverables
Each party retains its pre-existing intellectual property. KP retains ownership of software and work product it creates, including bespoke or customised SaaS, subject to third-party rights. Authorised SaaS users receive access while authorised; access does not transfer software ownership.
Once the agreed consulting fees are paid, the client receives an unrestricted, non-exclusive, perpetual, worldwide, royalty-free licence to use, modify, distribute and sublicense the consulting deliverables for any purpose. Third-party components remain subject to their own licences. This deliverable licence does not itself provide continuing hosting or access to a shared SaaS service. We may reuse general skills and non-confidential know-how without disclosing your confidential information.
6. Content, confidentiality and personal data
You retain your rights in your data and content. We use it to perform the agreed services and do not use client or customer content for AI training or unrelated marketing without separate authorisation and a lawful basis.
Each party protects the other's non-public information and uses it only for the engagement. This contractual confidentiality obligation continues for two years after termination; longer duties imposed by law or an applicable data-processing agreement remain. It does not cover information lawfully public, already known, independently developed or lawfully obtained elsewhere. Legally required disclosures are limited to what is required.
Our Privacy Policy explains KP's own controller activities and service-specific notices. Where we process a business customer's personal data on its instructions, the parties must accept a suitable data-processing agreement and processing details, including our standard DPA where agreed. Retention, export and deletion depend on the service, instructions and legal requirements; requests can be sent to our contact email.
7. Ordinary cancellation and termination
Consumers: you may cancel SaaS renewal before the next renewal date stated in your order by emailing us or using an available app cancellation control. Access continues through the paid period. Voluntarily not using available access does not itself create a refund entitlement. More generous offers and statutory withdrawal or service-remedy rights remain.
Business customers: give 30 days' written notice, including email, to end consulting or SaaS unless another arrangement is accepted. Ordinary business SaaS termination takes effect at the later of the paid period's end or 30 days after notice. Any necessary short final extension is charged pro rata, without starting a further full billing period. Consulting fees cover work actually supplied, deliverables provided and reasonable incurred expenses; the notice period is not an automatic penalty for a full month of unperformed consulting.
Termination by KP: our ordinary notice is 14 days for consulting and 30 days before discontinuing hosted SaaS, unless the accepted offer provides otherwise. Serious misuse or urgent legal or security issues may require earlier proportionate suspension. Where KP ends paid access without your fault, we refund the unused prepaid access. Statutory termination rights remain unaffected.
8. Consulting refunds and seller purchases
Fees for completed consulting work, accepted deliverables and incurred expenses are generally non-refundable, except where mandatory law or an agreed refund or credit applies. Other prepaid amounts are assessed under the accepted engagement after accounting for work and reasonable expenses. Send concerns about quality, scope or an invoice promptly, where possible before payment; payment does not waive mandatory remedies.
Food and other provider purchases follow the identified seller's disclosed rules. A lawful change-of-mind exception for perishable food, or an applicable dated service, does not remove rights concerning non-delivery, defects or the seller's more generous promises. Not every food or booking purchase is non-refundable.
9. Consumer withdrawal from software and service contracts
Where the statutory right applies to a distance contract with KP, you may withdraw without giving a reason within 14 days after the contract is concluded. Send an unambiguous statement to our email or postal address before the period expires; the form below is optional. A longer statutory period applies if required withdrawal information was omitted.
Starting a paid service early requires your express request and acknowledgment that withdrawal is lost after full performance. Merely activating SaaS access does not automatically waive withdrawal. If you withdraw after a valid early-start request, a proportionate charge for the service supplied may apply only where the legal requirements are met. The separate exception for digital content not supplied on a physical medium requires the prescribed prior consent, acknowledgment and confirmation; it does not automatically cover hosted SaaS.
We make refunds due following statutory withdrawal without undue delay and within 14 days of being informed of your decision, using the original payment method unless you expressly agree otherwise, without a refund fee. Any lawful proportionate service charge is taken into account. Applicable precontract information must explain any exception and the available withdrawal methods, including an online function where required.
Optional withdrawal notice
To MB “Kryptingi projektai”, Taikos g. 150-30, LT-05227 Vilnius, Lithuania; s@1d.works:
I/we withdraw from the contract for [software or service and order reference], concluded on [date].
Consumer name(s): [name].
Consumer address(es): [address].
Date: [date].
Signature(s): [required only for a paper notice].
You may send this notice by email. It is a notice template, not an online withdrawal function.
10. Mandatory consumer remedies
Digital content and services must meet applicable contractual and statutory conformity requirements, including necessary security updates. Depending on the circumstances, consumers may require supply or correction, a proportionate price reduction or termination and reimbursement. These rights are not removed by ordinary cancellation, completed-work or no-unused-time-refund provisions. Nothing here limits rights that mandatory consumer law protects.
11. Business liability
Unless an individual business agreement provides otherwise, KP's total liability for the affected engagement is limited to fees you actually paid KP for that engagement in the one-month period immediately preceding the event giving rise to the claim. This is a cash-paid limit, not one month's allocated service value: it can be zero when no payment occurred in that period, or include a whole annual payment made in that period. Neither party is liable to the other for indirect losses, subject to the following exceptions.
Neither the cap nor the exclusions apply to loss caused by intentional misconduct or gross negligence, liability for personal injury, death or non-pecuniary damage, or any liability that applicable law prohibits excluding or limiting. This business section does not limit consumer rights or other mandatory rights.
12. Complaints, law and changes
Send a written complaint and your requested remedy to s@1d.works. We consider consumer complaints free of charge and provide a reasoned written response within 14 calendar days of receipt. If our response does not resolve the complaint, or no response is given in that period, you may apply to Lithuania's State Consumer Rights Protection Authority (VVTAT), A. Goštauto g. 12, LT-01108 Vilnius, through its complaint procedure or VTIS. You may also pursue remedies in court.
Lithuanian law governs. Business disputes that cannot be resolved amicably are subject to the courts of Vilnius, Lithuania. Consumers retain applicable mandatory protections and court-jurisdiction rights, including those of their country of habitual residence.
New versions are dated on this page. Changes to an existing engagement require an applicable contractual or legal basis and any required notice or consent; posting a revision alone does not remove existing rights. The English and Lithuanian versions are intended to have the same substance.
